The Ebony Exchange Terms & Conditions

1. Introduction
These Terms & Conditions govern the relationship between vendors and The Ebony Exchange, a multi-vendor marketplace designed to connect customers with Black-owned brands. By registering as a vendor, you agree to comply with these terms.
2. Vendor Eligibility
– Vendors must provide accurate business information and comply with all applicable laws.
– The Ebony Exchange reserves the right to approve or reject vendor applications.
3. Product Listings & Sales
– Vendors are responsible for ensuring their products are legal, accurately described, and meet quality standards.
– Counterfeit, illegal, or prohibited products are strictly banned.
– The Ebony Exchange reserves the right to remove listings that violate our policies.
4. Referral Fee Structure
To support vendor success and help build early momentum, The Ebony Exchange uses a referral-based model:
1. First 100 Days:
– Vendors keep 100% of their sales revenue, aside from standard payment processing fees.
– The “First 100 Days” begins on the official launch date of the platform (TBD).
2. After 100 Days:
– A 10% referral fee will be applied to each sale made through The Ebony Exchange. This helps fund continued marketing, platform improvements, and customer acquisition.
-Vendors will also remain responsible for standard payment processing fees (typically ~3% via Stripe, PayPal, etc.).
5. Payouts
– Payments will be processed weekly via the vendor’s chosen payment method.
6. Shipping & Fulfillment
– Vendors are responsible for timely shipping orders, as stated on the original vendor approval application and that is agreed to at point of sale.
– The vendor is responsible for any disputes regarding shipping delays or product issues.
7. Customer Service & Returns
– Vendors must establish a clear return/refund policy that will be posted on their vendor page and respond to customer inquiries promptly.
– The Ebony Exchange may mediate disputes but is not liable for vendor-customer transactions.
8. Platform Rules & Conduct
– Vendors must not engage in fraudulent activity, price manipulation, or spam marketing.
– Vendors must adhere to ethical business practices and fair competition.
9. Termination & Account Suspension
– The Ebony Exchange reserves the right to suspend or terminate vendor accounts that violate platform policies.
– Vendors may request account termination within a 14-day notice period once all outstanding orders have been fulfilled.
10. Additional Fees (if applicable in the future)
– Featured Listings & Promotions: Optional paid promotions for vendors who want increased visibility.Custom Storefront Upgrades: Future premium customization options.
– Custom Storefront Upgrades: Future premium customization options.
– High-Volume Vendor Discounts: These will be introduced based on vendor performance and sales volume.
11. Changes to Terms
– The Ebony Exchange may update these terms and conditions with a 30-Day Notice
– Continued use of the platform constitutes agreement to revised terms.
